This agreement is between you ("user") and Teams Plus governing access to teamsplus.com, proprietary applications including Texting Services and Analytic Services, and all related services. By accessing or using our services, you accept and agree to be bound by these Terms of Use.
Teams Plus reserves the unilateral right to modify these terms at any time. Changes are noted via an updated "Last Updated" date at the top of this page. Continued use of the service after any such changes constitutes your acceptance of the new terms. Users must review these terms frequently to remain aware of modifications.
Users are directed to our privacy policy for information on how personal information is handled. Submission of personal data to Teams Plus constitutes your express consent to its collection, use, and disclosure in accordance with our privacy policy.
Teams Plus may contact users via multiple channels. Providing a phone number grants consent for SMS communications. Opt-in via web form or by texting "START." Opt-out at any time by replying "STOP." Standard carrier rates may apply.

Users receive a limited, revocable, nonexclusive, nontransferable, nonassignable, non-sublicensable, "as-is" license for personal, non-commercial use only. The following are expressly prohibited:
Services may contain links to external websites. Teams Plus has no control over external content, does not endorse it, and bears no liability for any content, products, or services found on external sites.
Users are prohibited from the following activities:
(a) User termination. Users may terminate this agreement at any time by discontinuing access to the services.
(b) Company termination. Teams Plus may terminate access in its sole discretion, for any or no reason, without notice.
(c) Breach. Termination due to breach constitutes an additional remedy and does not limit any other remedies available to Teams Plus.
(d) Effect of termination. Upon termination, users immediately lose access to all services. Teams Plus has no obligation to maintain or forward any data.
Services are operated from the United States or Canada. International users are solely responsible for compliance with all applicable local laws, regulations, and requirements in their jurisdiction.
Services are provided "as is" and "as available" without warranties of any kind. Teams Plus makes no warranty regarding uninterrupted, timely, secure, or error-free availability of the services. The company expressly disclaims all warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Teams Plus shall not be liable for lost profits, indirect, consequential, exemplary, incidental, special, or punitive damages. The aggregate liability of Teams Plus is limited to the greater of: (A) $100; (B) the amount paid by you in the last 12 months; or (C) the amount specified in any applicable Master Services Agreement.
Users agree to indemnify, defend, and hold harmless Teams Plus and its officers, directors, employees, and agents from any third-party claims arising from: your use of the services; your feedback; violations of these terms; violations of third-party rights; or any content you submit.
Any claim arising out of or related to these Terms of Use must commence within one (1) year after the cause of action accrues. Prior to initiating any legal action, users must inform Teams Plus in writing and allow 30 days for Teams Plus to attempt a remedy.
(a) These Terms constitute the entire agreement between you and Teams Plus regarding your use of the services.
(b) No third-party beneficiaries are created by this agreement.
(c) No agency, partnership, joint venture, or employment relationship is created between you and Teams Plus.
(d) These Terms shall be interpreted fairly and not strictly for or against either party.
(e) If any provision is found unenforceable, the remaining provisions remain in full force and effect.
(f) Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
(g) These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved in federal or Delaware state courts.
(h) Notices under these Terms shall be provided via email.
(i) Users may not assign their rights or obligations under these Terms. Teams Plus may assign its rights and obligations without restriction.
